Terms of Service

Effective date: March 1, 2026

These Terms of Service (“Terms”) govern your use of the Agentic Control Plane website (agenticcontrolplane.com), GatewayStack open-source software, and Agentic Control Plane Cloud managed services (collectively, the “Services”) operated by Reducibl (“we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

  • “Service” refers to the Agentic Control Plane website, GatewayStack open-source modules, documentation, and Agentic Control Plane Cloud (managed gateway service).
  • “User,” “you,” or “your” refers to the individual or entity accessing the Service.
  • “Customer Data” refers to any data you transmit through or store using the Service, including API request payloads, identity tokens, audit logs, and configuration.

2. Account Registration

To use Agentic Control Plane Cloud, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

You must be at least 16 years of age to create an account. If you are registering on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Service Description

The Agentic Control Plane provides identity verification, policy enforcement, rate limiting, content safety, audit logging, and routing capabilities for AI agent infrastructure. The Service is offered as:

  • Open-source software. GatewayStack modules published on npm under the MIT License, available for self-hosted deployment.
  • Managed cloud service. Agentic Control Plane Cloud, a multi-tenant hosted gateway with dashboard, integrations, and audit UI, offered under paid subscription plans.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. For paid plans, we will provide at least 30 days’ notice before discontinuing material features.

4. Open-Source License

The GatewayStack open-source modules are licensed under the MIT License. Your use of the open-source software is governed by the MIT License, not these Terms, except that:

  • These Terms govern your use of the agenticcontrolplane.com website
  • These Terms govern your use of Agentic Control Plane Cloud (the managed service)
  • Contributions to GatewayStack repositories are subject to the project’s contribution guidelines

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Transmit malware, viruses, or malicious code
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse-engineer the managed cloud service (the open-source components are freely available for inspection)
  • Use the Service to build a competing managed gateway service that substantially replicates Agentic Control Plane Cloud
  • Circumvent rate limits, authentication mechanisms, or other security controls
  • Use the Service to process data in violation of applicable data protection laws

We reserve the right to suspend or terminate accounts that violate these terms, with notice where practicable.

6. Customer Data

You retain all rights to your Customer Data. We do not claim ownership of any data you transmit through the Service.

We process Customer Data solely to provide the Service. We do not use Customer Data to train machine learning models, for advertising, or for any purpose other than delivering and improving the Service. Our data handling practices are described in our Privacy Policy.

You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining any required consents from end users whose data passes through the gateway.

7. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in your plan agreement.

We may change pricing with 30 days’ notice. Price changes will take effect at the start of your next billing cycle after the notice period.

If payment fails, we will notify you and provide a 14-day grace period before suspending your account. Your data will be retained for 30 days after suspension to allow for recovery.

8. Service Level

For Agentic Control Plane Cloud paid plans, we target 99.9% monthly uptime for the gateway service. This excludes scheduled maintenance (announced at least 48 hours in advance) and force majeure events.

Uptime is measured as the percentage of minutes in a calendar month during which the gateway successfully processes authenticated requests. If we fail to meet the uptime target, affected customers may request a service credit proportional to the downtime, up to 30% of that month’s fees.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is” and “as available.” We make no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

These limitations apply to both the open-source software and the managed cloud service.

10. Indemnification

You agree to indemnify and hold harmless Reducibl from any claims, losses, or damages (including reasonable legal fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Customer Data you transmit through the Service

11. Termination

By you. You may close your account at any time by contacting us at hello@agenticcontrolplane.com. For paid plans, you may cancel at the end of your current billing period.

By us. We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or if required by law. We will provide reasonable notice where practicable.

Effect of termination. Upon termination, your right to use the managed cloud service ceases. We will retain your Customer Data for 30 days after termination to allow for export, after which it will be deleted. The open-source software remains available under the MIT License regardless of account status.

12. Modifications to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email at least 30 days before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware. Either party may seek injunctive relief in any court of competent jurisdiction.

14. General Provisions

  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • Waiver. Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
  • Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Reducibl regarding the Service.
